Welcome to AkountSmart (“AkountSmart,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the AkountSmart website, software, platform, tools, and related services (collectively, the “Services”).

By accessing or using AkountSmart, you agree to be bound by these Terms. If you do not agree, please do not use the Services.


1. About AkountSmart

AkountSmart is a software platform built for tax and accounting professionals to help manage workflows, automate accounting processes, process invoices, reconcile GST data, manage clients, and integrate with supported third-party tools.

At present, AkountSmart is operated as an independent business initiative and may transition into a registered legal entity in the future. Upon such transition, these Terms may be updated accordingly.


2. Eligibility

You may use the Services only if:

  • You are at least 18 years old

  • You are legally capable of entering into binding contracts

  • You are using the Services for lawful professional or business purposes

  • You are a tax professional, accountant, firm, consultant, or authorized representative thereof.

We reserve the right to refuse access to any user at our discretion.

4. Account Registration

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information

  • Keep login credentials secure

  • Be responsible for all activities under your account

  • Notify us immediately of unauthorized use.

You are solely responsible for maintaining the confidentiality of your credentials.


5. Subscription Plans, Billing, and Auto Renewal

AkountSmart offers paid monthly subscription plans.

By subscribing:

  • You authorize recurring monthly billing

  • Your plan automatically renews each billing cycle unless cancelled before renewal

  • Charges may be processed through third-party payment providers such as Razorpay.


Cancellation

If you cancel during an active billing cycle, your subscription will remain active until the end of the paid billing period.

Example: If billed on the 5th and cancelled on the 10th, access remains available until the 4th of the following month.


Failed Payments

If payment fails:

  • Access may be suspended, paused, or limited

  • We may retry payment

  • Continued failure may result in suspension or termination.


Pricing Changes

AkountSmart may revise subscription pricing, usage charges, or plan features from time to time. Any pricing changes will be communicated in advance and will apply prospectively from the next billing cycle.

Continued use after the effective date of revised pricing constitutes acceptance of the updated charges.


6. Free Trial

AkountSmart may offer promotional free trials.

Unless cancelled before the trial period ends:

  • The free trial may automatically convert into a paid subscription

  • Applicable charges will be billed using the selected payment method.

If payment fails after trial conversion, access may be paused until a successful payment is received.

We reserve the right to modify or withdraw trial offers at any time.


7. No Refund Policy

All payments are final and non-refundable, except where required under applicable law.

This includes:

  • Partial month usage

  • Early cancellation

  • Unused time

  • Downgrades

  • Failure to use the Services after purchase.


8. User Data and Ownership

You retain ownership of all data, files, records, invoices, documents, credentials, and materials uploaded or submitted through the Services (“User Data”).

By using the Services, you grant AkountSmart a limited license to host, store, process, transmit, and analyze User Data solely for:

  • Providing the Services

  • Operating requested features

  • Security monitoring

  • Customer support

  • Maintenance and improvements

  • Aggregated or anonymized analytics where appropriate.

We do not claim ownership of your User Data. 


9. Sensitive Financial and Client Information

Because the Services may process sensitive professional data, including financial records, GST data, invoices, client information, and credentials, you represent and warrant that:

  • You have the lawful right to upload or process such data

  • You have obtained any required client permissions or consents

  • Your use complies with applicable privacy, tax, and business laws

  • Data submitted is lawful and accurate.


10. AI-Powered Features

Certain features may use artificial intelligence, automation systems, or third-party AI providers.

You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies or incomplete information

  • Outputs should be independently reviewed before use

  • AI features are assistive tools and not substitutes for professional judgment.

AkountSmart is not responsible for decisions made solely based on automated outputs.


11. Professional Use Disclaimer

AkountSmart is a software platform only. AkountSmart does not provide legal, tax, audit, accounting certification, investment, or professional advisory services.

Users are solely responsible for reviewing outputs, filings, reconciliations, calculations, and compliance decisions before relying on them. Use of the Services does not guarantee statutory compliance, filing accuracy, or audit readiness.


12. Credential Storage and Password Tools

Where credential or password storage tools are provided, AkountSmart uses industry-standard commercially reasonable safeguards. However, users remain responsible for:

  • Maintaining secure master credentials

  • Restricting access to authorized users only

  • Reviewing stored credentials regularly

  • Promptly reporting unauthorized activity.

AkountSmart cannot guarantee absolute security and is not liable for losses caused by compromised devices, phishing, weak passwords, credential sharing, or user negligence.


13. Third-Party Integrations

AkountSmart may integrate with or rely upon third-party services such as Razorpay, Tally, hosting providers, analytics tools, communication tools, and AI service providers.

Your use of third-party services may also be governed by their separate terms and privacy policies.

AkountSmart is not responsible for outages, data issues, pricing changes, or service failures caused by third-party providers.


14. Acceptable Use

You agree not to use the Services to:

  • Violate any law or regulation

  • Upload malware or harmful code

  • Attempt unauthorized access

  • Interfere with platform operations

  • Commit fraud, tax evasion, or unlawful conduct

  • Reverse engineer or scrape the Services

  • Abuse support personnel

  • Upload unlawful or infringing material.


15. Availability, Maintenance, and Changes

AkountSmart strives to provide reliable service. However, downtime, maintenance, upgrades, internet disruptions, or third-party outages may occur.

We may modify, improve, suspend, or discontinue features at any time without liability.

We do not guarantee uninterrupted or error-free operation.


16. Beta Features

From time to time, AkountSmart may offer beta, preview, early-access, or experimental features.

Such features may be incomplete, changed, suspended, or discontinued at any time and are provided “as is” without warranties or service commitments.


17. Intellectual Property

All AkountSmart software, branding, logos, workflows, interfaces, designs, and related materials are owned by AkountSmart or its licensors.

Your subscription grants a limited, non-exclusive, non-transferable, revocable right to use the Services during an active paid term.

No ownership rights are transferred.


18. Suspension and Termination

We may suspend or terminate access immediately where reasonably necessary to:

  • Protect platform security

  • Prevent abuse or fraud

  • Enforce these Terms

  • Address non-payment

  • Comply with legal obligations

  • Maintain operational integrity.


19. Data Access After Cancellation

Upon cancellation or termination, paid access may continue until the end of the active billing cycle, if applicable.

Users may request export of available account data for up to 30 days after termination, subject to technical feasibility and clearance of outstanding dues.

After that period, AkountSmart may delete retained data in accordance with internal retention practices or legal obligations.


20. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, AkountSmart disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.


21. Limitation of Liability

To the maximum extent permitted by law, AkountSmart shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits, revenue, or goodwill

  • Loss of data

  • Business interruption

  • Tax penalties or missed deadlines

  • Delayed filings or reconciliation mismatches

  • Professional negligence claims

  • User reliance on automated outputs without independent review

  • Third-party provider failures.

AkountSmart’s total aggregate liability for any claim shall not exceed the amount paid by you to AkountSmart during the one (1) month preceding the event giving rise to the claim.


22. Indemnity

You agree to indemnify and hold AkountSmart harmless from claims, losses, liabilities, or expenses arising from:

  • Your misuse of the Services

  • Your User Data

  • Violations of law

  • Client disputes

  • Infringement claims

  • Regulatory or tax non-compliance.


23. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Latur, Maharashtra, India.


24. Changes to These Terms

We may update these Terms from time to time. 

Revised Terms become effective upon posting. Continued use of the Services after updates constitutes acceptance of the revised Terms. We may notify users via website notice, dashboard notice, or registered email.
